These Terms and Conditions ("Terms") govern your use of Lumanu's services as a Vendor ("you," "your," "Vendor"), provided by Lumanu, Inc. ("Lumanu," "we," "us," "our"). "Buyer" means a Lumanu customer (a brand, agency, or platform) that engages and pays vendors through Lumanu. By using Lumanu to receive payments, you agree to these Terms.

Our Terms incorporate the following third-party provider policies and agreements that allow us to deliver services to our Buyers and Vendors:

1. Scope of Services

Lumanu provides contracting, payment, verification, and related services that enable Buyers to engage and pay vendors. By using our services you acknowledge and agree that:

  • You may be paid through Lumanu for services or deliverables provided in connection with a Buyer engagement.

  • Funds are released to you through our platform once processed, subject to these Terms.

  • We may clear transactions and pay you through third-party financial institutions and service providers we use.

  • Lumanu may deny, suspend, or discontinue services to you in accordance with these Terms, including where verification or compliance screening is not satisfied.

2. Lumanu's Role and Capacity

Depending on the Buyer, the transaction, and applicable local law, Lumanu may act as (a) a payment agent, (b) an agent acting in its own name, or (c) a reseller / principal that buys from you and resells to the Buyer. Lumanu sets the applicable capacity and may adjust it to comply with local legal and tax requirements.

Whichever capacity applies: you look solely to Lumanu for payment of amounts processed through the platform; payment by the Buyer to Lumanu discharges the Buyer's corresponding payment obligation; and, where Lumanu acts in its own name or as principal, your supply is made to Lumanu and Lumanu may make the onward supply to the Buyer in its own name.

The creative and performance terms of your engagement (scope, deliverables, usage rights, and intellectual property) are agreed directly between you and the Buyer and are not governed by these Terms.

3. Account Creation and Verification

  • To use our services you must create a Vendor account and agree to:

    • Provide accurate, current information, including your legal name, taxpayer identification number, email address, and bank details.

    • Complete Lumanu's Know Your Business / Know Your Customer (KYB/KYC) verification.

    • Authorize Lumanu, directly or through third-party providers, to make inquiries to verify your identity and your business, including against third-party databases.

    • Undergo compliance screening (see Section 4).

    • Maintain the confidentiality of your credentials and promptly notify Lumanu of any unauthorized access.

4. Compliance Screening

Before releasing payment, and on an ongoing basis, Lumanu screens Vendors against international and country-specific sanctions lists, watchlists, and validates bank and tax-identification details. Lumanu may hold, delay, decline, or reverse a payment, or suspend or terminate your account, where screening or validation is not satisfied or where an engagement is identified as potentially prohibited under applicable law or our policies.

5. Eligibility

  • You must be at least 18 years old and able to enter binding agreements.

  • You may be an individual, business, or entity domiciled in any country, provided you meet applicable compliance requirements.

  • You must have a valid email address, address, and taxpayer identification number.

  • You must comply with these Terms and our policies and provide information we request.

6. Payment Services

  • Payments processed by Lumanu are deposited to your designated account, subject to verification, screening, and these Terms.

  • Payment conditional on funding. Regardless of the capacity in which Lumanu acts under Section 2, Lumanu's obligation to pay or remit any amount to you is conditional upon, and arises only after, Lumanu's receipt of the corresponding funds from the Buyer. Lumanu is not required to pay you out of its own funds in advance of receiving them. This timing reflects a payment condition applicable to your engagement and does not, by itself, determine the capacity in which Lumanu acts.

  • If you receive funds to which you are not entitled, you agree to return them.

  • Lumanu may issue payment or transaction records on your behalf as an operational and record-keeping convenience; this does not alter the capacity under which Lumanu acts or the party responsible for any tax.

7. Optional early payment

If you opt into Instant Pay, payment is processed early and a discount fee is applied. The fee and net amount are shown before processing. Transactions are final once processed. Instant Pay is a discounting of amounts otherwise due to you; it is not a loan or an advance against unfunded amounts.

8. Taxes

You are responsible for your own income and similar taxes on amounts you receive. You will provide the tax documentation we request before payment (for example, IRS Form W-9 or the applicable W-8 series), together with any registration status or information about the nature and location of the services that we reasonably request. Where applicable law requires withholding, you authorize Lumanu to withhold and remit the required amount and to request the information needed to determine whether withholding applies. Lumanu will issue required tax information returns (for example, IRS Forms 1099 and 1042-S) electronically.

9. Independent Contractor; No Employment

You are an independent contractor. Nothing in these Terms or your use of the Services creates any employment relationship between you and Lumanu, or between you and any Buyer, and nothing creates a partnership, joint venture, or fiduciary relationship (other than the limited payment and supply capacities expressly described in Section 2). You control the manner and means by which you produce your work.

10. Disputes

Questions about the amount, timing, or processing of a payment are administered by Lumanu; notify us in writing within thirty (30) days, and if the issue did not result from Lumanu's own act or omission, you and the Buyer will resolve it between you, with Lumanu cooperating as reasonably requested. Disputes about deliverables, quality, usage rights, or intellectual property arise under your direct arrangement with the Buyer and are between you and the Buyer, regardless of the capacity in which Lumanu contracts under Section 2.

11. Prohibited Activities

You may not use the Services for illegal activity; prohibited goods or services (for example, gambling, controlled substances, adult content); fraudulent transactions; or any activity that violates applicable law or our policies. Lumanu may suspend or terminate your account if prohibited activity is detected.

12. Representations and Warranties

You represent that you have the right to provide the deliverables and to enter these Terms; that the information you provide is accurate; that you will comply with applicable law and the creative terms agreed with the Buyer; and that you are not the subject of applicable sanctions.

13. Limitation of Liability

LUMANU SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES.

IN NO EVENT SHALL LUMANU'S AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS RELATING TO THESE TERMS OR THE SERVICES EXCEED THE GREATER OF (A) THE TOTAL FEES RETAINED BY LUMANU FROM YOU ON THE TRANSACTION GIVING RISE TO THE CLAIM, AND (B) ONE THOUSAND U.S. DOLLARS ($1,000).

This limitation does not cap Lumanu's obligation to remit to you Vendor payments actually received by Lumanu on your behalf and owed to you. The limitations in this Section apply to any theory of liability and whether or not Lumanu has been advised of the possibility of the damage.

14. Disclaimers

Lumanu makes no guarantees regarding the content or conduct of other users or third parties.

THE SERVICES AND ALL INCLUDED CONTENT ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTY OF ANY KIND, WHETHER EXPRESS OR IMPLIED. WITHOUT LIMITING THE FOREGOING, LUMANU EXPRESSLY DISCLAIMS ANY AND ALL WARRANTIES AND CONDITIONS OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING OUT OF COURSE OF DEALING OR USAGE OF TRADE.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, LUMANU MAKES NO PROMISES WITH RESPECT TO, AND EXPRESSLY DISCLAIMS ALL LIABILITY FOR: (I) THE COMPLETENESS, ACCURACY, AVAILABILITY, TIMELINESS, SECURITY, OR RELIABILITY OF THE SERVICES OR ANY CONTENT; (II) ANY HARM TO YOUR COMPUTER SYSTEM, LOSS OF DATA, OR OTHER HARM RESULTING FROM YOUR ACCESS TO OR USE OF THE SERVICES; (III) THE DELETION OF, OR FAILURE TO STORE OR TRANSMIT, ANY CONTENT OR COMMUNICATIONS; AND (IV) WHETHER THE SERVICES WILL MEET YOUR REQUIREMENTS OR BE AVAILABLE ON AN UNINTERRUPTED, SECURE, OR ERROR-FREE BASIS; IN EACH CASE EXCEPT WHERE THE APPLICABLE HARM IS THE DIRECT RESULT OF LUMANU'S GROSS NEGLIGENCE OR INTENTIONAL WRONGDOING OR A VIOLATION BY LUMANU OF THESE TERMS.

15. Indemnification

You agree to indemnify, defend, and hold harmless Lumanu and its affiliates, officers, directors, employees, and agents from any claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising out of: your breach of these Terms; your use of the Services; any dispute between you and a Buyer, including deliverable- or performance-related issues; any dispute or liability between you and any third party that results in a claim against Lumanu; and your failure to comply with our policies or those of our third-party providers.

16. Changes to Terms

Lumanu may update these Terms at any time. Changes are effective upon posting to our website. Continued use of the Services constitutes acceptance of the updated Terms.

17. Arbitration

Any dispute arising out of or relating to these Terms or your use of the Services will be resolved by binding arbitration under the American Arbitration Association's commercial rules, before a single arbitrator in Alameda County, California. You waive the right to a jury trial and to participate in class actions. Each party bears its own costs, and the arbitrator may award the prevailing party the costs of arbitration and reasonable attorneys' fees. You may bring qualifying individual claims in small claims court.

18. Governing Law and General Provisions

These Terms are governed by the laws of the State of California. You submit to the exclusive jurisdiction of the state and federal courts of California, and any proceeding will occur in Alameda County, California. If any provision is held unenforceable, the remaining provisions remain in effect. Your rights and duties are not assignable. Provisions that by their nature should survive termination will survive.
